1. Nature of Services
Skylight Dispatchers provides administrative and back-office support for motor carriers, freight brokers, and shippers. Our services include, but are not limited to, 24/7 dispatching, TMS administration, Track & Trace (TnT), appointment scheduling, billing, and carrier onboarding.
Skylight Dispatchers is strictly an independent dispatching service and administrative support provider. We are NOT a motor carrier, freight broker, or freight forwarder.
2. Client Responsibilities & No Forced Dispatch
- No Forced Dispatch: We operate on a strict “No Forced Dispatch” policy. Carriers maintain complete control over which loads they accept or reject. We find and negotiate loads, but the final decision rests with the carrier.
- Compliance & Authority: Motor carriers utilizing our services must maintain active operating authority (MC/DOT), a valid Commercial Driver’s License (CDL), and legally required cargo and liability insurance at all times.
- Accurate Information: You agree to provide accurate and up-to-date documentation (COI, W-9, NOA, etc.) required for vendor onboarding and billing processing.
3. Fees and Payment Terms
- Clients agree to pay Skylight Dispatchers the agreed-upon fees or percentage-based commissions for services rendered, as outlined in your specific Service Agreement.
- For clients using our Billing & Invoice Processing services, we will act on your behalf to submit documentation to your factoring company or direct clients. Skylight Dispatchers is not responsible for the financial insolvency of any broker or shipper, nor do we guarantee payment from third parties.
4. Limitation of Liability
- Freight & Equipment Damage: Skylight Dispatchers is not responsible or liable for any cargo claims, OS&D (Over, Short, and Damaged) issues, vehicle damage, personal injury, or accidents that occur during the transit of freight.
- Rate & Transit Guarantees: While we utilize spot quoting and capacity sourcing to secure the best possible rates, we do not guarantee specific gross revenues or market rates. We are not liable for transit delays caused by weather, traffic, detention, or mechanical failure.
- Maximum Liability: To the maximum extent permitted by law, Skylight Dispatchers’ liability for any claim arising out of our services shall not exceed the total fees paid by you to us in the month preceding the claim.
5. Term and Termination
Either party may terminate the service agreement at any time with written notice, subject to the terms of your specific Service Agreement. Upon termination, the client remains responsible for any outstanding fees owed for loads booked or services rendered prior to the termination date.
6. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these terms shall be brought exclusively in the state or federal courts located in Dallas, Texas.
7. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page, and your continued use of our services constitutes acceptance of the updated terms.
